The obligation

Terms the contract defines.

“(D) Certificate of Occupancy. The phrase “Certificate of Occupancy” shall mean a Final Certificate of Occupancy issued by the City’s Building Safety Department to the Company for the Project and must be obtained, subject to Force Majeure (described below), by the Company not later than December 31, 2028.”Executed agreement, p. 4
“and the creation of 400 new Full-Time Employee jobs (the “Project”); and,”Executed agreement, p. 1
“including approximately $40,000,000.00 in real property development and $100,000,000.00 in business personal property; and the creation of (400) new Full-Time Employees (“FTEs”) during the first five (5) years after receiving a Final Certificate of Occupancy issued by the City’s Building Safety Department to the Company (hereinafter, the “Project”); and”Executed agreement, p. 3

The dated sentence above defines a term used elsewhere in the contract. It is recorded here as a definition, not as a performance obligation.

The repayment remedy

What happens if it is not met.

“(B) In the event of Default by the Company, the City and/or MEDC shall, as its sole and exclusive remedy for Default hereunder, have the right to terminate this Agreement and to recapture one hundred percent (100%) of the Project Grants paid to Company if the Default occurs on or prior to the termination date, which shall be due and payable to the City and/or MEDC within thirty (30) days of Default.”Executed agreement, p. 9

Where a deadline above has passed, no public record exists of whether it was met — not in the Comptroller’s filings, nor in the local government’s own disclosures. That is not evidence of non-compliance. Texas requires nobody to record it.

Abatement schedule

What was abated, and for how long.

—December 31, 2032
—December 31, 2034
—December 31, 2036

A local abatement waives only that taxing unit’s share of the property tax bill. School districts, counties, cities and hospital districts each sign separately.
